1. Introduction

Welcome to Sainfoxiya (referred to as "we," "us," or "our"). 2. Services Description

Sainfoxiya provides the following Services (as described on our website and agreed upon in individual project agreements):

  • Custom website design and development (responsive, mobile-friendly websites).
  • Website hosting and maintenance services.
  • Domain name registration and management assistance.
  • Search Engine Optimization (SEO) services.
  • Website redesign and updates.
  • Technical support and consulting.

Each project will be governed by a separate agreement (e.g., a project proposal, quote, or contract) that outlines specific deliverables, timelines, and payment terms for that project.

3. Payment Terms

  • Pricing: Prices for our Services are as quoted on our website or in your individual project agreement. Prices are subject to change without notice, but changes will not affect projects for which we have already received payment or a signed agreement.
  • Payment Schedule: For most projects, we require a 50% advance payment to start work, with the remaining 50% due upon project completion and before final delivery. Other payment schedules may be agreed upon in writing.
  • Payment Methods: We accept payments via bank transfer, UPI, and other methods as specified from time to time. All payments must be made in Indian Rupees (INR) unless otherwise agreed.
  • Non-Payment: If you fail to make payments when due, we reserve the right to suspend work on your project, delay delivery, or terminate the agreement. We also reserve the right to charge interest on overdue payments at a rate of 1.5% per month (or the maximum rate allowed by law, whichever is lower).
  • Refunds: All payments are non-refundable except as explicitly stated in your project agreement. If we are unable to complete your project due to our own fault, we will refund the unused portion of your payment.

4. Project Process & Timeline

  • Project Timeline: Project timelines are estimates only and are dependent on your timely provision of required information, content, and feedback. We are not responsible for delays caused by your failure to provide feedback or approvals within the agreed timeframe.
  • Revisions: The number of revisions included in your project will be specified in your project agreement. Additional revisions beyond the included amount may incur extra charges.
  • Delivery: Upon completion of your project and receipt of full payment, we will deliver the final website files to you (or publish the website to your hosting server, as agreed).
  • Post-Delivery Changes: Any changes, additions, or enhancements requested after project delivery will be considered a new project and will be quoted separately.

5. Client Responsibilities

As a client, you agree to:

  • Provide all necessary content (text, images, logos, etc.) for your website in a timely manner.
  • Review and provide feedback on our work promptly to keep the project on schedule.
  • Ensure that all content you provide (text, images, trademarks, etc.) does not infringe on the rights of any third party. You will be solely responsible for any claims arising from infringing content.
  • Back up your website and data regularly. We are not responsible for any data loss unless caused by our gross negligence.

6. Intellectual Property Rights

  • Our Work: Until we receive full payment for your project, we retain all intellectual property rights to the website design, code, and other materials we create for you.
  • Transfer of Ownership: Upon receipt of full payment, we transfer ownership of the completed website to you, subject to the following exceptions:
  • We retain the right to display your website in our portfolio and use it for marketing purposes.
  • Any third-party tools, plugins, or software used in your website remain the property of their respective owners and are subject to their own license terms.
  • Your Content: You retain ownership of all content you provide to us for your website. By providing content to us, you grant us a limited license to use, reproduce, and display that content solely for the purpose of completing your project.

7. Warranties & Disclaimers

  • Limited Warranty: We warrant that your website will be free from major defects for a period of 30 days from the date of delivery. During this warranty period, we will correct any defects at no charge to you, provided that the defect is not caused by your own modifications, third-party software, or user error.
  • Disclaimers: Except as explicitly stated in these Terms, we make no warranties, express or implied, regarding our Services or your website. We do not warrant that your website will be uninterrupted, error-free, or compatible with all browsers or devices.
  • No Guarantee of Results: We do not guarantee any specific results from our SEO services or website (such as a particular search engine ranking or number of visitors).

8. Limitation of Liability

To the fullest extent permitted by law:

  • We will not be liable to you for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or Services (including loss of profits, revenue, data, or business).
  • Our total aggregate liability to you for any claim arising from these Terms or our Services will not exceed the total amount you paid to us for the specific Service giving rise to the claim.

This limitation of liability applies even if we have been advised of the possibility of such damages and regardless of the legal theory under which the claim is brought.

9. Termination

  • By You: You may terminate this agreement at any time by providing us with written notice. If you terminate, you will remain responsible for paying for all work completed up to the date of termination.
  • By Us: We may terminate this agreement immediately if you breach any of these Terms (including non-payment), or if we believe that your use of our Services violates any law or regulation.
  • Effect of Termination: Upon termination, we will provide you with any work completed to date (subject to full payment for that work). We will also delete any of your personal data from our systems, except as required by law.

10. Privacy Policy

11. Third-Party Services

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our Services shall be subject to the exclusive jurisdiction of the courts located in Delhi, India.

15. Entire Agreement

These Terms, together with our Privacy Policy and any signed project agreement, constitute the entire agreement between you and Sainfoxiya regarding your use of our website and Services. They supersede any prior agreements or understandings, whether written or oral.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
